Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b)

Effective March 14, 2019, Alexandre Santoro, who served as Restaurant Brands International Inc.’s (the “Company”) President, Popeyes, is transitioning to a new role with the Company supporting its international supply chain business and assisting with new country entries. Felipe Athayde will succeed Mr. Santoro and serve as the Company’s Brand President of Popeyes, Americas, effective March 14, 2019. Mr. Athayde has served in a variety of roles of increasing responsibility since joining the Company in 2011.
