In accordance with the Transaction Agreement, among a series of other transactions, the Issuer merged with and into Digital LD MergerCo, LLC ("Merger Sub"), with Merger Sub surviving such merger as a wholly-owned subsidiary of LM Infra (the "Merger"). At the effective time of the Merger, each issued and outstanding Common Unit of the Issuer (other than certain excluded shares) automatically converted into the right to receive $16.50 in cash.
