This Amendment No. 2 (this “Amendment No. 2”) amends and supplements the Tender Offer Statement on Schedule TO filed with the Securities and Exchange Commission by Cidara Therapeutics, Inc., a Delaware corporation (the “Company”), on November 20, 2019 and amended on December 4, 2019 (as amended, the “Schedule TO”). The Schedule TO relates to the offer by the Company to exchange Eligible Options for New Options upon the terms and subject to the conditions set forth in the Offer to Exchange Eligible Options for New Options dated November 20, 2019 and amended on December 4, 2019 (the “Exchange Offer”).

The purpose of this Amendment No. 2 is to amend and supplement “Item 4 - Terms of the Transaction” to reflect and report the final results of the Exchange Offer under the caption “Material Terms.”

Except as otherwise set forth in this Amendment No. 2, the information set forth in the Schedule TO remains unchanged and is incorporated herein by reference to the extent relevant to the items in this Amendment No. 2. Capitalized terms used but not defined herein have the meanings ascribed to them in the Schedule TO. You should read this Amendment No. 2 together with the Schedule TO and the Exchange Offer.

Item 4. Terms of the Transaction.

Item 4 of the Schedule TO is hereby amended and supplemented to add the following information:

(a) Material Terms.

The Exchange Offer expired at 9:00 p.m., Pacific Time, on Wednesday, December 18, 2019. Pursuant to the Exchange Offer, 51 Eligible Holders elected to exchange Eligible Options and the Company accepted for cancellation Eligible Options to purchase an aggregate of 1,656,379 shares of the Common Stock, representing approximately 60.4% of the total shares of Common Stock underlying the Eligible Options as of December 18, 2019. Effective December 18, 2019, immediately following the expiration of the Exchange Offer, the Company granted New Options to purchase 1,529,814 shares of Common Stock, pursuant to the terms of the Exchange Offer and the Company’s 2015 Equity Incentive Plan. The exercise price per share of the New Options granted pursuant to the Exchange Offer was $2.45 per share, which is the closing price per share of Common Stock on The Nasdaq Global Market on the grant date of the New Options. The vesting terms of the New Options are described in detail in the Exchange Offer.
