Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 17, 2020, the Board of Directors of Luby’s, Inc. (the “Company”) approved an annual base salary of $300,000 for Benjamin Coutee, the Company’s Chief Operating Officer, which represents an increase from his previous annual base salary of $283,000. The foregoing annual base salary is effective for the period beginning on July 2, 2020.
