Explanatory Note

On December 18th 2015, Orion Carbons S.A. corrected its earlier press release of the same day by clarifying that the adjusted EBITDA guidance for the full year 2015 is EUR205 million - EUR210 million. The earlier release on December 18th 2015 had incorrectly expressed the 2015 full year guidance in US dollars. A copy of the corrected press release is attached as Exhibit 99.1 hereto.
