On June 12, 2017, Mobileye N.V. (the “Company”) issued a press release announcing that the waiting period under the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended, relating to the Purchase Agreement previously entered into by and among the Company, Intel Corporation, a Delaware corporation, and Cyclops Holdings, Inc., a Delaware corporation and wholly owned subsidiary of Intel which, on April 4, 2017, was converted into Cyclops Holdings, LLC, a Delaware limited liability company, has expired. A copy of the press release is attached as Exhibit 99.1 and is incorporated herein by reference.
