State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Alpine 4 Holdings, Inc. (the “Company”) could not complete the filing of its Quarterly Report on Form 10-Q for the period ended March 31, 2023 (the “First Quarter Form 10-Q”) in a timely manner due to only having just completed and filed its 2022 Form 10-K on May 5, 2023, leaving insufficient time remaining to obtain, compile, and review the information required to be included in the First Quarter Form 10-Q. This delay could not be eliminated by the Company without unreasonable effort and expense. In accordance with Rule 12b-15 of the Securities Exchange Act of 1934, the Company will file its First Quarter Form 10-Q as soon as practicable.
