Do stock ownership guidelines apply to converted Evoqua equity? If so, for whom does this apply?

Xylem’s current stock ownership guidelines apply to our CEO (6x), CFO & COO direct reports (3x), and Corporate Controller & Chief Accounting Officer (1x). We expect to have a uniform guideline, effective at closing, based on external benchmarking and a comparison of current Xylem and Evoqua policies.

 

2.

Does Xylem have a Deferred Compensation Plan? Who is eligible?

Yes. Xylem’s Deferred Compensation Plan allows our U.S.-based executives to defer between 2% and 90% of Annual Incentive Plan (AIP) awards.

 

3.

Does Xylem have a retirement provision in the equity program that would allow for continued vesting upon satisfying the definition?

Xylem’s current equity plan agreements provide for prorated vesting for employees who are retirement eligible (age 55 and at least 10 years of service or age 65 and older). Vesting does not continue during retirement or during severance regardless of age. Evoqua’s current equity agreement will remain in effect for all equity granted before the closing date.

 

4.

Will there be a post-close black-out period before someone can execute the sale of any vested equity or stock?

This is not known at this time. Equity restrictions related to the transaction will be communicated when known.

 

5.

How will this impact my Sales Incentive Compensation?

For now, it remains business as usual. In addition, for FY23 targets we have in place will remain and eligible participants will be paid in accordance with our delivery on that plan.
