The following sets forth the final terms of the 6.75% Notes due 2031 (the “Notes”) and should only be read together with the preliminary prospectus supplement, dated March 17, 2021, together with the accompanying prospectus dated, May 29, 2020, relating to these securities (together, the “Preliminary Prospectus”) and supersedes the information in the Preliminary Prospectus to the extent inconsistent with the information in the Preliminary Prospectus. In all other respects, this pricing term sheet is qualified in its entirety by reference to the Preliminary Prospectus. Terms used herein but not defined herein shall have the respective meanings as set forth in the Preliminary Prospectus. All references to dollar amounts are references to U.S. dollars.

Interest Payment Date: The Notes will pay interest on March 31, June 30, September 30 and December 31 of each year. If an interest payment date is a non-business day, the applicable interest payment will be made on the next business day and no additional interest will accrue as a result of such delayed payment. Interest payments on the Notes will commence on June 30, 2021.
   

 

 

 

Interest Periods: The initial interest period for the Notes will be the period from and including March 25, 2021, to, but excluding, June 30, 2021. The subsequent interest periods will be the periods from and including an interest payment date to, but excluding, the next interest payment date or the stated maturity date, as the case may be.
Regular Record Dates: Every March 15, June 15, September 15 and December 15. The first record date for the Notes will be June 15, 2021. If the record date for an interest payment is a non-business day, the record date will be the next business day.
Business Days: Each Monday, Tuesday, Wednesday, Thursday and Friday that is not a day on which banking institutions in New York City are authorized or required by law or executive order to close.
Optional Redemption: The Notes may be redeemed in whole or in part at any time or from time to time at Issuer’s option on or after March 29, 2024, upon not less than 30 days nor more than 60 days written notice, by mail prior to the date fixed for redemption thereof, at a redemption price of 100% of the aggregate principal amount of the Notes to be redeemed plus unpaid interest payable thereon accrued to, but excluding, the date fixed for redemption.
Listing: Issuer intends to list the Notes on the New York Stock Exchange and expects trading to begin within 30 days of the original issue date under the trading symbol “ECCW.”

The Issuer expects that delivery of the Notes will be made against payment therefor on or about March 25, 2021, which will be the fifth business day following the date of the pricing of the Notes (such settlement being herein referred to as “T+5”). Under Rule 15c6-1 promulgated under the Securities Exchange Act of 1934, as amended, trades in the secondary market generally are required to settle in two business days, unless the parties to any such trade expressly agree otherwise. Accordingly, purchasers who wish to trade the Notes prior to the date of delivery hereunder will be required, by virtue of the fact that the Notes initially will settle in T+5 business days, to specify an alternative settlement arrangement at the time of any such trade to prevent a failed settlement.
