Item 2.02 Results of Operations and Financial Condition.

On July 26, 2022, Investar Holding Corporation (the “Company”), the holding company of Investar Bank, National Association (the “Bank”), issued a press release reporting second quarter 2022 results. A copy of the press release is furnished as Exhibit 99.1 to this Current Report on Form 8-K.

Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 25, 2022, the Company and Christopher L. Hufft, its Executive Vice President and Chief Financial Officer, agreed that they would begin focused efforts to identify a successor for Mr. Hufft. No date has been set for Mr. Hufft’s departure, but the parties intend that Mr. Hufft will continue to serve as the Company’s Executive Vice President and Chief Financial Officer until his successor is named and that he will assist in the transition of his role. This action is being taken for health reasons and is not a result of any disagreement by Mr. Hufft with respect to the Company’s operations, policies or practices.
