NOTE 16. COMMON STOCK

During the second quarter of 2021, the Company issued 382,238 shares to Auctus Fund, LLC. The shares were issued upon conversion by Auctus Fund of debt arising under the Promissory Note Auctus Fund purchased from the Company in July 2019. The sale was exempt from registration pursuant to Section 4(a)(2) of the Securities Act of 1933.
