Just Eat Takeaway.com publishes circular and EGM convocation and agenda relating to the proposed acquisition of Grubhub
Just Eat Takeaway.com N.V. (AMS: TKWY, LSE: JET), (the “Company” or “Just Eat Takeaway.com”) publishes a circular relating to the acquisition of 100% of the
shares of Grubhub Inc. (NYSE:GRUB), (“Grubhub”) in an all-share combination (the “Transaction”). The Circular, which has been approved by the Financial Conduct Authority, contains further details on the Transaction and the convocation of an
extraordinary general meeting of the Company (the “EGM”), including the agenda and an explanation of the agenda items. The EGM will be held at BIMHUIS Amsterdam, Piet Heinkade 3, Amsterdam, the Netherlands at 14:00 CET on 7 October 2020.
On 10 June 2020, Just Eat Takeaway.com announced that it had entered into a definitive agreement whereby the Company is to acquire 100% of the shares of Grubhub Inc.
(NYSE:GRUB), (“Grubhub”) in an all-share combination.
Just Eat Takeaway.com is required to seek shareholder approval for the Transaction pursuant to Dutch law and also because the Transaction constitutes a Class 1 transaction under
the Listing Rules. Therefore, completion of the Transaction remains conditional on the approval of Just Eat Takeaway.com shareholders at the EGM. Subject to satisfaction of conditions, completion of the Transaction is anticipated to occur during
the first half of 2021.
The evolving situation in relation to coronavirus and restrictions may significantly impact the ability of shareholders to attend the EGM in person. Shareholders should
