Item 8.01 Other Events.

 

On March 14, 2024, Sphere 3D Corp. (the “Company”) terminated its Master Hosting Services Agreement, dated April 4, 2023, between the Company and Rebel Mining Company, LLC (the “Agreement”), in accordance with its terms. The termination of the Agreement is effective immediately. The Company has reserved all rights, including the right to assert damages for breach of contract under the Agreement.
