Explanatory Note:

On September 21, 2017, Tantech Holdings Ltd (the “Registrant”) announced that its 70% owned subsidiary, Suzhou E Motors Buses Co., Ltd., has signed approximately US$20 million (RMB128.8 million) worth of sales contracts for its electric van and bus products. A copy of the press release regarding the sales is attached as Exhibit 99.1.
