Explanatory Note:

On July 17, 2017, Tantech Holdings Ltd (the “Registrant”) announced today that it completed the acquisition of 70% of the equity interest of Suzhou E-Motors Co., Ltd (the “Acquisition”). A second supplemental agreement (the “agreement”) was signed on July 12, 2017. A copy of the agreement is attached as Exhibit 99.1. A copy of the press release regarding the Acquisition is attached as Exhibit 99.2.
