 McGraw-Hill Education, Inc. (“MHE” or the “Company”) is a leading provider of outcome-focused learning solutions, delivering curated content and digital learning solutions to students in higher education, pre- kindergarten through 12th grade (“K-12”), professionals and corporations in over 135 countries  The Company reported Adjusted Revenue of $2.1 billion and Pro Forma Adjusted EBITDA of $516 million for the fiscal year ended December 31, 2015  The Company is seeking to contribute McGraw-Hill School Education (“MHSE”) into the existing McGraw-Hill Global Education (“MHGE”) credit group (the “Transaction”). 1. Company receives cash up-front for most product sales but recognize revenue (primarily related to digital sales) over time recording a liability for deferred revenue at the time of sale. This adjustment represents the net effect of converting deferred revenues (inclusive of deferred royalties) to a cash basis assuming the collection of all receivable balances. 2. Adjusted EBITDA is defined as EBITDA adjusted to exclude unusual items and other adjustments required or permitted in calculating covenant compliance under the indenture governing our senior secured notes and/or our new senior secured credit facilities. Adjusted EBITDA reflects the impact of cash spent for pre-publication investment. Pre-publication investment costs, reflecting the cost of developing education content, are capitalized and amortized. These costs are capitalized when the title is expected to generate probable future economic benefits and are amortized upon publication of the title over its estimated useful life of up to six years.
