Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In connection with the decision to evaluate strategic alternatives and reduce Talis Biomedical Corporation’s (the “Company”) workforce by approximately 90%, previously announced on November 14, 2023, Dr. Andrew Lukowiak’s position as President and Chief Scientific Officer was eliminated as of January 14, 2024. Dr. Lukowiak’s departure is not as a result of any disagreement with the Company on any matter relating to its operations, policies, or practices, or to any issues regarding its accounting policies or practices. The Company does not intend to replace this position.
