The securities to be registered consist of Common Shares, no par value (“Common Shares”) of Tricon Residential Inc. (the “Registrant”). The description of the Registrant’s Common Shares under the section captioned “Description of the Securities” in the short form base shelf prospectus and under the sections captioned “Certain Canadian Federal Income Tax Considerations” and “Certain U.S. Federal Income Tax Considerations” in the prospectus supplement to the short form base shelf prospectus of the Registrant, each included in the Registrant’s registration statement on Form F-10 (File No. 333-260043) (the “Registration Statement”), initially filed with the Securities and Exchange Commission on October 5, 2021, as subsequently amended by any amendments to such Registration Statement, is incorporated herein by reference.
