Item 5.02    Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 1, 2023, John G. Schreiber, Chair of the Board of Directors (the “Board”) of Brixmor Property Group Inc. (the “Company”), notified the Board that he would be retiring from the Board at the end of his current term and would not stand for re-election at the Company’s 2023 annual meeting of stockholders. Effective as of Mr. Schreiber’s retirement, the Board will be reduced to eight (8) directors and Sheryl M. Crosland shall serve as the Chair of the Board.

On February 3, 2023, the Company issued a press release announcing Mr. Schreiber’s retirement. The press release is filed as Exhibit 99.1 to this Current Report on Form 8-K.
