(1)             Pursuant to Rule 416(a) under the Securities Act of 1933, as amended (the “Securities Act”), this Registration Statement (the “Registration Statement”) includes an indeterminate number of additional ordinary shares, par value US$0.000025 per share (the “Ordinary Shares”) of Alibaba Group Holding Limited (the “Company” or “Registrant”), which may be offered and issued under the Registrant’s 2014 Post-IPO Equity Incentive Plan (the “2014 Plan”) to prevent dilution from stock splits, stock dividends or similar transactions.

(2)             These Ordinary Shares may be represented by the Registrant’s American depositary shares (“ADSs”), each of which represents one Ordinary Share. ADSs issuable upon deposit of the securities registered hereby have been registered under a separate registration statement on Form F-6 (Registration No. 333-198401).

(3)             Represents Ordinary Shares of the Registrant added to the 2014 Plan pursuant to the 2014 Plan’s evergreen provision, and which are issuable pursuant to options outstanding under the 2014 Plan.

(4)             Estimated in accordance with Rule 457(h) solely for the purpose of calculating the registration fee. The price of $81.74 per share represents the weighted average of the exercise prices for the outstanding options under the 2014 Plan.

(5)             Represents additional Ordinary Shares reserved for issuance under the 2014 Plan pursuant to the 2014 Plan’s evergreen provision.

This Registration Statement on Form S-8 is being filed for the purpose of registering an additional 30,476,517 ordinary shares, par value $0.000025 per share, of the Registrant, that are issuable under the Registrant’s 2014 Post-IPO Equity Incentive Plan. These 30,476,517 ordinary shares are additional securities of the same class as other securities for which an original registration statement (File No. 333-199133) on Form S-8 was filed with the Securities and Exchange Commission (the “Commission”) on October 3, 2014. Pursuant to General Instruction E to Form S-8, the contents of such earlier registration statements are incorporated by reference into this Registration Statement.
