Explanation of Responses:

1. As previously disclosed in a March 7, 2023 Form 4, Paul Dell exercised share appreciation rights ("SARs") under the Company's Long-Term Incentive Plan ("LTIP") and indicated his intention to dispose of a portion of the shares. Mr. Dell has now sold 230 168 shares (in large part to cover the immediate tax obligations from the settlement of the SARs). Following the conclusion of the exercise of these SARs, Paul Dell has increased his total shareholding in MiX Telematics to 494 955 MiX Telematics ordinary shares..

2. The conversion price reflects the approximate conversion rate of Rand 18.3982 per U.S Dollar as of March 07, 2023.
