Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 2, 2023, Ms. Ines Dahne-Steuber tendered her resignation as Chief Operating Officer of Guardant Health, Inc., effective as of November 10, 2023. Ms. Dahne-Steuber will remain employed through December 1, 2023 in order to assist with the transition of her duties.
