Item 5.02     Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

(b) On June 25, 2021, Michael Grey notified the board of directors (the “Board”) of Mirati Therapeutics, Inc. (the “Company”) of his resignation as a director of the Company, effective immediately. Mr. Grey’s resignation was not the result of any dispute or disagreement with the Company on any matter relating to the Company’s operations, policies or practices. In connection with Mr. Grey’s resignation, the Board (i) appointed Julie M. Cherrington, Ph.D. as a member of the nominating and corporate governance committee of the Board and (ii) reduced the authorized size of the Board to nine (9) directors.
