Item 8.01 Other Events.
On November 19, 2024, Strategic Environmental & Energy Resources, Inc (“the Company or SEER”) entered into an consulting and investment banking agreement with First Block, Inc. (“First Block”). The company issued 4,000,000 shares of Series A Preferred Stock to First Block. The 4,000,000 shares of preferred stock will be converted into 3,600,000 common shares of the Company, only after a shareholder vote to increase the authorized shares of the Company’s Common Stock class. These preferred shares have a 15 to 1 voting ratio to the Common Stock. This is the first issuance of Preferred Stock by the Company.
