EARNINGS DISTRIBUTION PROPOSAL

Avianca Holdings’ Board of Directors approved the following proposal of earnings distribution to be submitted for the consideration of the General Shareholders’ Meeting to be held on March 22, 2019:

• At the close of fiscal year 2018, Avianca Holdings S.A. recorded a net profit of US$ 1.1 million.

• The Company proposes to distribute, at the very minimum, the equivalent of a minimum preferential dividend of COP$50 per share to shareholders of preferred stock of the Company, from earnings of the period ended December 31, 2018 and retained earnings of previous periods.

• Declared dividends will be paid in three (3) equal installments on May, August and November 2019.
