SALE OF PARTICIPATION IN AVIANCA-CAE FLIGHT TRAINING (ACFT) S.A.S.

Avianca Holdings S.A. (the “Company”) informs that the Company has entered into an agreement CAE International Holdings Ltd., a company domiciled in Canada (the “Purchaser”), for the sale to the Purchaser of all of the Company’s participation in the training business with flight simulators, which included certain assets of the Company and of all the shares the Company owned in Avianca-CAE Flight Training (ACFT) S.A.S., a company incorporated in Colombia. The Purchaser already owns 50% equity interest in Avianca-CAE Flight Training (ACFT) S.A.S.
