Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On March 13, 2025, Barry Schwartz, a member of the Board of Directors (the “Board”) of Gaming and Leisure Properties, Inc. (the “Company”), notified the Company of his decision to retire as a director effective as of the Company’s 2025 annual meeting of shareholders. Mr. Schwartz’s decision is not due to any disagreement with the Company on any matter relating to its operations, policies or practices. The Company is grateful to Mr. Schwartz for his service as a director since 2017. Following Mr. Schwartz’s retirement, the size of the Board will be reduced to seven members nominated for election at the 2025 annual meeting.
