On April 11, 2024, Blackwells Capital LLC (“Blackwells”) filed a Complaint in the United States District Court for the Northern District of Texas against Braemar Hotels & Resorts Inc. (the “Corporation”) and the Corporation’s directors. Blackwells alleges, among other things, that the Corporation improperly rejected Blackwells' nomination notice, breached its bylaws, and violated Section 14(a) of the Securities Exchange Act of 1934 by issuing false and misleading statements and failing to disclose The Dallas Express as a proxy participant. A copy of the complaint is attached hereto as Exhibit 1.

On April 12, 2024, Blackwells posted a copy of the complaint and made other updates to its campaign website, www.NoMoreMonty.com. Copies of the updated materials are filed herewith as Exhibit 2.
