Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On July 25, 2019, Douglas A. Cifu resigned as a director of Independent Bank Group, Inc. (the “Company”). Mr. Cifu informed the Company that due to the commitments associated with his position as Chief Executive Officer of Virtu Financial, Inc., he no longer has sufficient time to serve as a member of the Company’s Board of Directors. Mr. Cifu’s resignation is not a result of a disagreement between the Company or its management and Mr. Cifu relating to the Company’s operations, policies or practices.
