Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On November 10, 2020, Chris Young notified us of his decision to resign as a member of our board of directors, effective immediately. Mr. Young recently joined Microsoft Corporation as Executive Vice President of Business Development, and he and his new employer determined that his continued service as a member of the Snap Inc. board of directors may be a conflict of interest. Mr. Young’s decision was not based on any disagreement with Snap Inc. or management.
