Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 28, 2019, Mette Kirstine Agger notified Trevi Therapeutics, Inc., a Delaware corporation (the “Company”), of her decision to resign from her position as a member of Company’s Board of Directors (the “Board”), effective as of June 30, 2019. Ms. Agger’s resignation was not due to any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.

On June 28, 2019, the Board, acting in accordance with the recommendation of the Nominating and Corporate Governance Committee of the Board, appointed Michael Heffernan as a member of the Audit Committee of the Board, effective as of June 30, 2019, to fill the vacancy created by Ms. Agger’s resignation.
