Item 7.01.Regulation FD Disclosure.

 

On December 16, 2019, Healthcare Trust, Inc. (the “Company”) issued a press release announcing the closing of the issuance and sale of an additional 210,000 shares of the Company’s 7.375% Series A Cumulative Redeemable Perpetual Preferred Stock with a liquidation preference of $25.00, pursuant to the full exercise of the underwriters’ option.

 

A copy of the press release is attached as Exhibit 99.1, and is hereby incorporated by reference into this Item 7.01. This press release shall not be deemed “filed” for any purpose, including for the purposes of Section 18 of the Securities Exchange Act of 1934, as amended (the “Exchange Act”), or otherwise subject to the liabilities of that Section.
