Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
As previously disclosed, Cindy Moon, a current Class II member of the board of directors of Semler Scientific, Inc., or Semler, indicated her intent not to seek re-election at this year’s annual meeting of stockholders. On May 1, 2023, Ms. Moon notified the board of her resignation from the board with immediate effect. Ms. Moon’s decision to resign from the board of directors did not involve any disagreement on any matter relating to Semler’s operations, policies or practices.
