The Registrant has experienced a delay in completing the necessary disclosures and finalizing its financial statements to be included in its Annual Report on Form 20-F for the year ended March 31, 2016 (“Annual Report”). As a result of this delay, the Registrant is unable to file the Annual Report by the prescribed filing date without unreasonable effort or expense.

 

The Registrant is in the process of finalizing its consolidated financial statements and preparing the required disclosures and expects to file its Annual Report on August 15, 2016, the prescribed due date under the fifteen (15) calendar day extension period provided under Rule 12b-25.
