 FINAL AMENDMENT TO SCHEDULE TO

This Final Amendment to the Tender Offer Statement on Schedule TO relates the Offer by MacKenzie Realty Capital (the “Company”) to purchase, as approved by the Company’s board of directors (the “Board”), 135,000 shares of its issued and outstanding common stock, par value $0.0001 per share (the “Shares”), at $9.19 per Share (the “Purchase Price”), upon the terms and subject to the conditions set forth in the Offer to Purchase (the “Offer to Purchase”) dated February 14, 2020 and related Letter of Transmittal.  

The Company has received and accepted a total of approximately 178,361.2006 Shares.  The number of Shares accepted is greater than the 135,000 the Company was offering to purchase, but the Company is increasing the Offer to accept all such tendered shares (and such increase is less than 2% of the Company’s outstanding Shares under Rule14e-1(b) promulgated under the Exchange Act).  Upon completion of the Offer, the Company purchased 1.4% of the outstanding Shares as of the Offer Date. The Company will make cash payments of approximately $1,639,139.43 to purchase the Shares accepted pursuant to the Offer.
