FINAL AMENDMENT TO SCHEDULE TO

This Final Amendment to the Tender Offer Statement on Schedule TO relates the Offer by MacKenzie Realty Capital (the "Company") to purchase, as approved by the Company's board of directors (the "Board"), 51,550 shares of its issued and outstanding common stock, par value $0.0001 per share (the "Shares"), at $9 per Share (the "Purchase Price"), upon the terms and subject to the conditions set forth in the Offer to Purchase (the "Offer to Purchase") dated August 24, 2016 and related Letter of Transmittal.

The Company has received and accepted a total of approximately 16,866.86 Shares. Upon completion of the Offer, the Company purchased 0.37% of the outstanding Shares as of the Offer Date.  The Company will make cash payments of approximately $151,801.74 to purchase the Shares accepted pursuant to the Offer.
