Item 8.01.
Other Events.

On August 8, 2025, Matt Furlong notified Shutterstock, Inc. (the “Company”) of his intent to resign as Chief Marketplace Officer, effective September 2, 2025 (the “Effective Date”), to accept a role outside the Company.
 
Mr. Furlong’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
 
In connection with his resignation, Mr. Furlong will receive the accrued benefits for a voluntary resignation in accordance with Section 7(c) of the Employment Agreement dated January 13, 2025 by and between the Company and Mr. Furlong, previously filed as Exhibit 10.28 to the Company’s Annual Report on Form 10-K filed with the Securities and Exchange Commission on February 25, 2025 (the “Employment Agreement”), and his outstanding unvested equity awards will be forfeited as of the Effective Date.
