Business Combination

In January 2016, NPCQB acquired three Wendy’s restaurants, including fee-owned properties, from a Wendy’s franchisee for approximately $8.0 million, consisting principally of facilities and equipment of $6.7 million and franchise rights of $1.2 million. This asset acquisition was funded with cash on hand. The Company plans to sell the fee-owned properties and lease them back.
