Item 5.02         Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On October 8, 2021, the Compensation Committee of the Board of Directors of Natural Grocers by Vitamin Cottage, Inc. (the “Company”) approved a cash bonus award of $250,000 to Todd Dissinger, the Company’s Chief Financial Officer. The bonus award was discretionary in nature and was not paid pursuant to any non-equity incentive plan.
