This agreement was amended jointly by the Board of Directors and Mr. Gagnon. As of June 15, 2012 it was agreed and accepted by all that Mr. Gagnon would discontinue all work for a specified period of time. As of January 31, 2013, he is scheduled to resume his duties on July 1, 2013. Total compensation paid to Mr. Gagnon was $<font style=" FONT-SIZE: 10pt">10,000</font> for his work during the fiscal year ended January 31, 2013, of which $<font style=" FONT-SIZE: 10pt">4,500</font> was included in research and development expense.
