Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On September 24, 2019, at the recommendation of the Nominating and Corporate Governance Committee of the Board of Directors (the “Board”) of Empire State Realty Trust, Inc. (the “Company”), the Board increased its size from seven to eight directors, effective September 25, 2019, and appointed Patricia Sangmee Han to the Board effective as of such date, to serve until the next annual meeting of stockholders of the Company and until her successor is duly elected and qualifies. Ms. Han will also be contemporaneously appointed to the Board’s Nominating and Corporate Governance Committee.

The Board has determined that Ms. Han qualifies as an independent director under the New York Stock Exchange listing standards and the Company’s Corporate Governance Guidelines.

In connection with her service as a director, Ms. Han will be entitled to receive the same compensation as the Company’s other independent directors, the components of which are described under “Compensation of Directors” in the Company’s Proxy Statement for its 2019 annual meeting of stockholders as filed with the Securities and Exchange Commission (the “SEC”) on April 4, 2019 and incorporated herein by reference. Annual cash compensation and equity award will be pro-rated to the date of Ms. Han’s appointment to the Board.

In addition, the Company is entering into an indemnification agreement with Ms. Han substantially in the form of the indemnification agreement entered into with all other independent members of the Board, which was filed by the Company with the SEC on February 28, 2018 as Exhibit 10.22 to the Company’s Annual Report on Form 10-K for the year ended December 31, 2017 and is incorporated herein by reference. The indemnification agreement generally provides for the indemnification of and advancement of expenses to a director to the maximum extent permitted by Maryland law for claims, suits or proceedings arising out of his or her service to the Company.

Other than the director compensation and indemnification arrangements described above, there are no arrangements or understandings between Ms. Han and any other person pursuant to which Ms. Han was appointed to serve as a director of the Company. There are no transactions in which Ms. Han had or will have an interest that would be required to be disclosed pursuant to Item 404(a) of Regulation S-K under the Securities Exchange Act of 1934, as amended (the “Exchange Act”).
