On February 27, 2020, Lipocine Inc. (the “Company” or “Lipocine”) closed its previously announced registered direct offering of 10,084,034 Class A Units, each consisting of one share of common stock, $0.0001 par value per share (the “Shares”) and one half of one common warrant (the “Common Warrants”) to purchase one share of the Company’s common stock.
In connection with the closing, on February 27, 2020, Lipocine issued a press release announcing the closing of the offering, which press release is filed as Exhibit 99.1 to this report and is incorporated herein by reference.

LIPOCINE ANNOUNCES CLOSING OF REGISTERED DIRECT OFFERING OF COMMON STOCK AND WARRANTS
SALT LAKE CITY (February 27, 2020) – Lipocine Inc. (NASDAQ:LPCN), a clinical-stage biopharmaceutical company focused on metabolic and endocrine disorders, today announced the closing of a registered direct offering of 10,084,034 Class A Units, each consisting of one share of its common stock and one half of a common warrant to purchase one share of its common stock, at a price of $0.595 per Class A Unit, for total gross proceeds to the Company of approximately $6 million, before deducting placement agent fees and other estimated offering expenses. The Company intends to use the net proceeds from this offering for working capital and general corporate purposes.
Roth Capital Partners acted as sole agent for the offering.
The offering was made pursuant to a shelf registration statement on Form S-3 (File No. 333-220942) (including a prospectus) previously filed with and declared effective by the U.S. Securities and Exchange Commission (the “SEC”). Lipocine Inc. is a clinical-stage biopharmaceutical company focused on metabolic and endocrine disorders using its proprietary drug delivery technologies. Lipocine’s clinical development pipeline includes TLANDO, LPCN 1144, TLANDO XR (“LPCN 1111”), LPCN 1148 and LPCN 1107. LPCN 1107 is potentially the first oral hydroxyprogesterone caproate product candidate, with end of phase 2 meeting completed, indicated for the prevention of recurrent preterm birth and has been granted orphan drug designation by the FDA.
