This Amendment No. 1 supplements and amends the Tender Offer Statement on Schedule TO filed with the U.S. Securities and Exchange Commission (the “SEC”) on May 28, 2021 by Sierra Income Corporation, an externally managed, non-diversified, closed-end management investment company that has elected to be regulated as a business development company under the Investment Company Act of 1940, as amended, and was incorporated in Maryland (the “Company”), in connection with the offer by the Company to purchase up to 391,863 shares of its issued and outstanding common stock, par value $0.001 (the “Shares”). The repurchase offer of 391,863 Shares represents the number of Shares that the Company can repurchase with the proceeds it received from the issuance of Shares under the Company’s distribution reinvestment plan during the fiscal quarters ended December 31, 2020 and March 31, 2021. Such offer was made based upon and subject to the terms and conditions set forth in the Offer to Purchase, dated May 28, 2021, and the related Letter of Transmittal (together, the “Offer”). The Offer terminated at 11:59 P.M., Eastern Time, on June 29, 2021, and a total of approximately 8,299,829 shares were validly tendered and not withdrawn pursuant to the Offer. In accordance with the terms of the Offer, the Company purchased 391,857 Shares at a price equal to $5.28 per Share (which represents the Company’s net asset value per share as of March 31, 2021) for an aggregate purchase price of approximately $2,068,998.
