GWG Holdings, Inc. (the “Company”) is unable to file its Quarterly Report on Form 10-Q for the period ended September 30, 2021 (the “Third Quarter 2021 Form 10-Q”) within the prescribed time period because the Company requires additional time to complete its financial statements and related disclosures to be included in the Third Quarter 2021 Form 10-Q. The Company expects to file its Third Quarter 2021 Form 10-Q within the five calendar day extension period provided under Rule 12b-25.

  As disclosed in the Company's Annual Report on Form 10-K for the year ended December 31, 2020 filed with the Commission on November 5, 2021, the Company restated its previously issued results of operations for the quarter and nine months ended September 30, 2020.
