Explanatory Note

This Post-Effective Amendment No. 604 to the Trust’s Registration Statement is being filed pursuant to Rule 485(b)(1)(iii) for the sole purpose of designating January 23, 2026, as the new effective date upon which the Trust’s Post-Effective Amendment No. 593 shall become effective. The effective date for Post-Effective Amendment No. 593 had been previously extended to December 12, 2025, by Post-Effective Amendment No. 598 filed on November 14, 2025, and further extended to December 31, 2025, by Post-Effective Amendment No. 602 filed on December 11, 2025.

Post-Effective Amendment No. 593 to the Trust’s Registration Statement relates to the Beacon Dynamic Allocation Fund. Parts A, B and C of Registrant’s Post-Effective Amendment No. 593 under the Securities Act of 1933 and Amendment No. 593 under the Investment Company Act of 1940, filed on September 3, 2025 (SEC Accession No. 0001580642-25-005712), are incorporated by reference herein.
