Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 15, 2023, Toni Townes-Whitley notified the Board of Directors (the “Board”) of Marathon Petroleum Corporation (the “Company”) of her decision to resign from the Board effective June 30, 2023 as a result of her recent appointment as chief executive officer of another company and in consideration of her additional time commitments associated with such position. Ms. Townes-Whitley’s decision to resign from the Board was not the result of any disagreement with the Company, its management, the Board or any committees thereof on any matter relating to the Company’s operations, policies or practices.
