Item 5.03Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.
On July 27, 2021, the Board of Directors (the “Board”) of Marathon Petroleum Corporation (the “Company”) amended the Company’s Amended and Restated Bylaws (the “Bylaws”) consistent with the Delaware General Corporation Law (the “DGCL”) to: (i) adopt emergency bylaws to enable the Board to operate under certain streamlined procedural requirements in the event and during the pendency of an emergency, disaster or catastrophe, including an epidemic or pandemic; (ii) allow members of a Board committee to designate an alternate director to serve as a substitute committee member under certain circumstances; (iii) update provisions in line with recent amendments to the DGCL; (iv) clarify procedural requirements for the delivery of stockholder notices provided to the Company pursuant to the special meeting, advance notice and proxy access provisions; and (v) make certain other updates, clarifications and ministerial and conforming changes.
