Public Offering of Common Stock

On February 5, 2019, the Company completed a public offering whereby the Company issued 7,557,142 shares of its common stock at a price of $1.75 per share, which included 985,714 shares issued pursuant to the underwriters’ exercise of their option to purchase additional shares of common stock, each share issued with a warrant to purchase one share of common stock.  Each warrant has an exercise price of $1.95 per share with an exercise period expiring seven years from the date of issuance.  The aggregate net proceeds received by the Company from the offering were approximately $12,081, net of underwriting discounts and commissions and estimated offering expenses payable by the Company.
