Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
Effective November 1, 2011, Christopher W. Shean, 46, will be promoted to the position of Senior Vice President and Chief Financial Officer of Liberty Media Corporation (the Company) and, as a result, will be its principal financial officer and principal accounting officer. Prior to this promotion, Mr. Shean will have served as Senior Vice President/Controller and the principal accounting officer of the Company since May 2007. Effective November 1, 2011, Mr. Shean will also serve as the Senior Vice President and Chief Financial Officer of Liberty Interactive Corporation (Liberty Interactive), the Companys former parent. He has served as a Senior Vice President of Liberty Interactive since January 2002 and, prior to November 1, 2011, will have served as its Controller from October 2000 through October 2011, and as a Vice President from October 2000 to January 2002.
Also effective November 1, 2011, David J.A. Flowers will be promoted to the position of Senior Vice President and Managing Director, Alternative Investments of the Company. As a result of this promotion and the promotion of Mr. Shean as described above, Mr. Flowers will no longer be the principal financial officer of the Company. Mr. Flowers will serve as the Senior Vice President and Treasurer of the Company until such time.
The Company issued a press release to announce these promotions on October 25, 2011 which is included as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

LIBERTY MEDIA CORPORATION ANNOUNCES
MANAGEMENT CHANGES
Englewood, Colo, October 25 - Liberty Media Corporation (Nasdaq: LCAPA, LCAPB, LSTZA, LSTZB) today announced the following management changes effective as of November 1.
Christopher W. Shean has been appointed to the position of Senior Vice President and Chief Financial Officer and will continue to report to Gregory B. Maffei, Liberty Medias President and CEO. As Senior Vice President and CFO, Mr. Shean will oversee all accounting and treasury functions at Liberty Media. Mr. Shean most recently served as Senior Vice President/Controller, and has held several executive positions in the Liberty group prior to that. Prior to joining Liberty, Mr. Shean served as a partner in the assurance practice of the accounting firm of KPMG.
David J.A. Flowers has been appointed Senior Vice President and Managing Director, Alternative Investments and will continue to report to Mr. Maffei. Mr. Flowers will focus on deploying Liberty Medias capital in opportunities in a broad range of areas. Mr. Flowers has been Senior Vice President/Treasurer since 2000 and has held other executive positions with the Liberty group since 1995. In connection with assuming his new role, Mr. Flowers will no longer serve as Treasurer of the company.
We are happy to announce these promotions which we believe will benefit the organization, said Greg Maffei. We congratulate Chris and Dave and look forward to their continued service at Liberty in these new roles.
