Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Joshua G. James, Domo, Inc.’s (the “Company”) Chief Executive Officer and Principal Executive Officer, notified the Company that effective December 4, 2025, he will be reducing his duties to focus on his health. Mr. James remains the Company’s Chief Executive Officer and the Company has appointed Daren Thayne, the Company’s current Chief Technology Officer and Executive Vice President of Product as the Company’s Interim Principal Executive Officer (within the meaning of the rules and regulations of the Securities and Exchange Commission (“SEC”)), effective December 4, 2025. For Mr. Thayne’s biographical information, see the disclosure included under the heading “Executive Officers” in the Company’s definitive proxy statement for the 2025 annual meeting of stockholders filed with the SEC on May 13, 2025, which disclosure is incorporated by reference herein.

Mr. Thayne is continuing under the terms of his existing compensation arrangements with the Company. There are no family relationships between Mr. Thayne and any director or executive officer of the Company that require disclosure under Item 401(d) of Regulation S-K. Other than with respect to his employment with the Company, there are no transactions between Mr. Thayne or any member of his immediate family, on the one hand, and the Company or any of its subsidiaries, on the other hand, that require disclosure under Item 404(a) of Regulation S-K. Furthermore, there are no arrangements or understandings between Mr. Thayne and any other persons pursuant to which Mr. Thayne was selected as the Interim Principal Executive Officer of the Company.
